Establish the bank's internal legal function, including policies, procedures, and retention of external counsel.
Serve as the primary legal advisor to the CEO, Board of Directors, and executive committees on all legal and regulatory matters.
Manage the legal aspects of the bank's licensing, establishment, and corporate governance in Egypt.
Review, draft, and negotiate all major commercial agreements, FinTech partnership contracts, and technology vendor agreements.
Ensure the legal soundness of all digital product features, marketing campaigns, and customer terms and conditions.
Oversee litigation management, dispute resolution, and regulatory inquiries on behalf of the bank.
Provide legal oversight for data protection, intellectual property (IP), and consumer protection laws relevant to digital operations.
Collaborate with the Compliance function to ensure robust adherence to AML/CFT and other financial crimes legislation.
Stay abreast of changes in Egyptian banking law and CBE decrees relevant to digital banking and financial services.
Drive legal risk mitigation and provide training to staff on legal and ethical obligations.
A Master's Degree (LLM) in Commercial Law, International Law, or Banking/Finance Law is highly preferred.
15+ years of progressive legal experience, with at least 5 years in a senior legal role (General Counsel, Head of Legal) within the banking or financial services sector.
Qualified to practice law in Egypt and possess an extensive, current understanding of Egyptian Banking Law and CBE regulations.
Proven experience managing the legal requirements for new entity establishment, licensing, and corporate governance.
Deep expertise in drafting and negotiating complex technology, outsourcing, and digital partnership contracts.
Strong knowledge of legal issues surrounding digital lending, data privacy, e-signatures, and electronic transactions.
Exceptional leadership, negotiation, and communication skills, with proven ability to influence executive-level decisions.
Fluency in both Arabic and English (written and verbal) is highly desirable for legal documentation and regulatory communication.
