Description
- Legal Strategy & Advisory: Develop and implement the overall legal strategy for the company, aligning with business objectives and risk appetite. Provide proactive, practical, and comprehensive legal advice to the CEO, Board of Directors, and all departments on a wide range of legal matters impacting the mortgage business & advise on legal aspects of new product development, market expansion, digital initiatives, and strategic partnerships.
- Regulatory Compliance: Ensure the company's strict adherence to all applicable laws, decrees, circulars, and regulations issued by the Central Bank of Egypt (CBE), Financial Regulatory Authority (FRA), Egyptian Exchange (EGX), and other relevant governmental bodies concerning mortgage finance, anti-money laundering (AML), consumer protection, data privacy, and corporate governance & Monitor legislative and regulatory changes in Egypt and advise management on potential impacts and necessary adjustments to policies and operations.
- Contract Management & Documentation: Draft, review, and negotiate all legal documentation related to mortgage transactions, including loan agreements, security documents (e.g., mortgages, pledges), collateral agreements, property transfer deeds, and other related instruments, ensuring enforceability under Egyptian law. Oversee the standardization and legal validity of all customer-facing contracts and internal agreements & manage and advise on all commercial contracts, vendor agreements, and partnership agreements.
- Litigation & Dispute Resolution: Oversee and manage all legal disputes, litigation, arbitration, and out-of-court settlements involving the company. Develop litigation strategies, manage external legal counsel effectively, and represent the company's interests in legal proceedings in Egypt & Advise on debt recovery processes, including legal actions related to collections, foreclosures, and asset realization in accordance with Egyptian civil and commercial laws.
- Corporate Governance & Secretariat: Advise the Board of Directors and senior management on best practices in corporate governance, ensuring compliance with Egyptian corporate laws and company bylaws & Oversee company secretarial duties, including Board and committee meeting minutes, statutory filings, and maintenance of corporate records.
- Real Estate Legal Expertise: Provide specialized legal counsel on Egyptian real estate laws, property registration procedures, land titles, zoning regulations, and property valuation legalities relevant to mortgage lending & advise on legal due diligence processes for properties serving as collateral.
Requirements
- Bachelor of Laws (LLB) degree from a reputable Egyptian university.
- Minimum experience of 7 Years in progressive legal / financial service.
- Extensive practical expertise in Egyptian real estate law, mortgage law, banking regulations (CBE), and financial market regulations (FRA).
- Proven track record in managing complex commercial transactions, litigation, and advising on corporate governance matters.
- Strong strategic thinking and commercial acumen with the ability to integrate legal advice with business objectives.
- Outstanding communication and presentation skills in both Arabic (essential for engaging with local regulators & internal teams).
- Fluency in English is a must.
